These Terms of Service (“Terms”) govern your access to and use of Sphere, a desktop workspace application and related cloud services (together, the “Service”) provided by GENNIA INTELIGENCIA ARTIFICIAL LTDA, a company registered in Brazil under CNPJ 55.932.239/0001-91 (“Gennia”, “we”, “us”, or “our”). By creating an account, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Sphere is a workspace that combines documents, channels, and AI agents. The AI agents run locally on your own device through command-line agent tools (such as Claude Code or Codex) using credentials or subscriptions that you provide. When you use collaborative (“Multiplayer”) features, certain content is synchronized through our cloud so that members of your organization can share it. We may update, add, or remove features over time.
2. Accounts & eligibility
Authentication is handled through our identity provider (WorkOS). You are responsible for the activity that occurs under your account and for keeping your login secure. You must be at least 18 years old, or the age of majority in your jurisdiction, and legally able to enter into these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Plans, trials & billing
3.1 Plans
The Service is offered in a free “Solo” plan and a paid “Multiplayer” plan. Multiplayer is billed per seat at US$10 per seat per month, or US$100 per seat per year, plus any applicable taxes. Prices may change with prior notice; changes do not affect the current paid period.
3.2 Reverse trial
New organizations may receive full access to Multiplayer features for a limited trial period (currently 30 days) without charge. Unless you subscribe to a paid plan before the trial ends, your organization will revert to the Solo plan. Trial terms may vary and are described in the app at the time of sign-up.
3.3 Payments & Merchant of Record
Payments are processed by Paddle, which acts as the Merchant of Record for all purchases. This means Paddle — not Gennia — is the seller of record for your transaction, handles billing, collects applicable taxes, and manages payment methods. Your purchase is also subject to Paddle's Buyer Terms. We do not receive or store your full payment-card details.
3.4 Renewals & cancellation
Paid subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time; cancellation stops future renewals and you retain paid access until the end of the current period. Refunds are governed by our Refund Policy.
4. AI agents & local execution
Sphere's agents can read and write files, run commands, send messages, and connect to third-party tools on your device and within services you have connected. You acknowledge and agree that:
- Agents act on your instructions and can take real, sometimes irreversible, actions. You are responsible for reviewing and approving agent actions, particularly those that modify files, send communications, change settings, or incur costs.
- Agent model calls are made from your device to the AI provider you configure (for example Anthropic or OpenAI), under your own account and their terms. Gennia does not control, and is not responsible for, those models' outputs.
- AI output may be inaccurate, incomplete, or unsuitable for your purpose. Do not rely on it without independent verification, and do not use it as a substitute for professional (legal, financial, medical, or similar) advice.
5. Your content
You retain all rights to the documents, messages, code, and other materials you create or upload (“Your Content”). You grant Gennia a limited, non-exclusive, worldwide license to host, store, transmit, sync, back up, and display Your Content solely to operate and provide the Service to you and the members of your organization. This license ends when Your Content is deleted, except for residual copies in routine backups for a limited period. You are responsible for having the rights to Your Content and for its lawful use.
6. Acceptable use
You agree not to:
- use the Service to violate any law or the rights of others;
- upload or generate malware, or use agents to attack, disrupt, or gain unauthorized access to any system;
- abuse, overload, or attempt to circumvent the security, rate limits, plan gating, or usage controls of the Service;
- resell or provide the Service to third parties except as expressly permitted;
- use the Service to generate or distribute unlawful, infringing, or harmful content.
We may investigate and take action, including suspension, for violations.
7. Third-party services
The Service integrates with third-party tools and platforms (for example Google Workspace, and integrations brokered through Composio). Your use of those integrations is governed by the respective third party's terms and privacy practices. We are not responsible for third-party services, and connecting them is at your discretion.
8. Intellectual property
The Service, including the Sphere software, brand, logos, and design, is owned by Gennia and its licensors and is protected by intellectual- property laws. These Terms grant you a limited, revocable, non- transferable license to use the Service; they do not transfer any ownership to you.
9. Suspension & termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, liability limits, and governing law) will survive.
10. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI output will be accurate. This does not limit any warranty that cannot be excluded under applicable law, including the Brazilian Consumer Protection Code (CDC) where it applies.
11. Limitation of liability
To the maximum extent permitted by law, Gennia will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) US$100. Some limitations may not apply to consumers where prohibited by mandatory law.
12. Indemnification
You agree to indemnify and hold harmless Gennia from claims, damages, and expenses arising out of Your Content, your use of the Service, actions you direct agents to take, or your breach of these Terms, except to the extent caused by our own wrongdoing.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you in the app or by email. Your continued use of the Service after changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-law rules. The courts of the domicile of the consumer (or, for non-consumers, the courts of the city where Gennia is registered) will have jurisdiction, subject to any mandatory consumer- protection venue rights.
